Making A Purchase
Making a purchase could not be easier. Just browse our Seed Store, and click on any items that you wish to buy and click "Add to Cart". After you have finished your selection, click on "Checkout Now" and you will be asked for a few details that we need to be able to complete your order.

We accept credit and debit card payments.

We do not charge for any item until it is ready to ship. Back-ordered items are not charged until they are shipped.

Businesses local to us that have dealt with us on a credit basis prior to the launch of seed2grow can apply for an invoice account. A unique user name and pasword will be issued to allow secure login access for special discounts and bespoke products.

The placing of an order with ABA Services via the seed2grow web site shall amount to the acceptance of our full Terms and Conditions of Sale for seed products.

APPLICATION OF TERMS AND CONDITIONS
(a) The Seller is ABA Services who contracts on these Conditions of Sale. Any additions, alterations or deletions to these Conditions of Sale will not be accepted unless they are expressly accepted by the Seller in writing.

STANDARDS
Seeds sold by the Seller are guaranteed to comply at the time of delivery with the U.K. Seeds Regulations currently in force. All information, whether contained in the Sellers catalogue or given by the Seller and related to varieties, varietal characteristics or periods of maturity or fitness for any particular purpose or otherwise relating to the performance of seeds, is given for general guidance only. Buyers are, therefore, advised that any such information given to them does not constitute a representation by the Seller as to these matters and should not be relied on as such. Buyers should satisfy themselves that any seeds which they order are of a variety and performance satisfactory for their requirements and order such seeds at their own risk.

Buyers are advised that the Seller's staff have no authority to give more than general guidance as described above to Buyers and the Seller disclaims liability for any advice given or opinion expressed by them. Such advice is followed or such opinion acted upon entirely at the Buyer's own risk.

LATENT EFFECT
Diseases of plants can be transmitted by the wind, by insects, by animals or by human agencies and may be seed-borne or soil-borne. The Seller believes the seed, hereby sold to be free from latent defect, but it is not a condition of sale, nor does the Seller warrant that any seed sold by it shall be free from such defect and the Seller will not be responsible in any way for the resultant crop.

LOOSE SMUT
In particular and without prejudice to the generality of this paragraph, although every care is taken in the selection of seed, it is not a condition of sale, nor does the Seller warrant that the seed is sold free of loose smut and the Seller will not accept any liability whatsoever for any damage direct or consequential which the Buyer might suffer, as a result of a presence of loose smut in the seed sold.

LIMITATION OF LIABILITY
In the event of any seeds sold or agreed to be sold by the Seller not complying with the express terms of the contract of sale, or any seeds proving defective in varietal purity, the Seller will at it's option, replace the defective seeds free of charge to the Buyer or will refund all payments made to it by the Buyer, in respect of the defective seed and shall be the limit of the Seller's obligation. The Seller hereby excludes all liability for any loss or damage arising from any use of any seeds supplied by it and for any consequential loss or damage arising out of such use or any failure in the performance of or any defect in any seeds supplied by the Seller or for any other loss or damage whatsoever save for, at the Seller's option, liability for any such replacement or refunds as aforesaid. In accordance with the established custom of the Seed Trade, any express or implied condition, statement or warranty, statutory or otherwise, not stated in these conditions is hereby excluded. The price of any seeds sold or offered for sale by the Seller is based upon the foregoing limitations upon the Seller's liability. The price of such seeds would be much greater if a more extensive liability were required to be undertaken by the Seller.

SPECIAL TREATMENTS
Where specially treated or tested seed is offered, the Seller's assurance is limited to the fact that the treatment or testing to the specification quote has been carried out; beyond this assurance the Seller does not accept any liability.

FORCE MAJEURE
(a) RETAIL The Seller shall not be responsible for delay in delivery of the goods or any part thereof occasioned by any act of God, action by any Government, strike, lock-out, combination of workmen, riot or civil commotion, breakdown of machinery, power failure, fire, failure of crop, fuel shortage, loss and/or detention at sea, or any other contingency beyond its control. Should any of the goods be rendered unfit for delivery by any reason of the above acts, the Contract, as far as it relates to those goods, shall be deemed to be discharged.
(b) WHOLESALE The Seller shall not be responsible for delay in delivery of the goods or any part thereof occasioned by any act of God, action by any Government, strike, lock-out, combination of workmen, riot or civil commotion, breakdown of machinery, power failure, fire, failure of crop, fuel shortage, loss and/or detention at sea, or any other contingency beyond its control, provided that notice in writing, by facsimile or telex is given to reach the other party to the Contract within seven days of the defaulting party's knowledge of the occurrence (in the case of resale such information shall be passed on without delay). Should any goods be rendered unfit for delivery by any reason of the above acts, the Contract, as far as it relates to those goods, shall be deemed to be discharged.

PLANT VARIETIES AND SEEDS ACT 1964 (WITH SUBSEQUENT AMENDMENTS)
The price of any variety which becomes the subject of a grant of plant breeders' rights under the Plant Varieties and Seeds Act 1964, with subsequent amendments, will be adjusted to include the cost of any royalty payable to the owner of the rights. If, in case of a variety which is already the subject of plant breeders' rights, there is a change in the rate of royalty payable to the owner of the rights, then the price will be adjusted accordingly.

REPRODUCTION OF SEED
With the exception of seed expressly supplied for the purpose of reproduction of seed, all other seed is offered for sale for the production of consumer crops only. In neither case shall the Seller be responsible whatsoever for the crops produced.

AVAILABILITY
Since seeds are growing organisms and their growth is subject to pests, diseases and climatic conditions, all sales of United Kingdom grown seeds are subject to harvest and the Seller reserves the right in the event of market shortages to apportion such supplies as becomes available among its customers at its sole discretion. Where seeds sold are imported their sales is subject to supplies being made available to the Seller by it's normal suppliers with whom the contact for their supply has been placed. In the event of failure of such supplies from abroad, and the seeds not being replaceable from other sources at a price no greater than that charged in the present Contract, this Contract will be deemed to be cancelled without any liability to either party providing notice of such failure is given to the Buyer the earliest opportunity.

RETAIL SUBSTITUTION
In accordance with the usual practice of the Seed Trade, the Seller reserves the right, in the event the variety ordered is not available, to substitute therefore at his option a suitable alternative variety. If the substituted variety is not acceptable to the Buyer he must return it unopened to the Seller within 7days of receipt, when any price paid for transport costs will be refunded in full. This Contract will then be deemed to be cancelled without any liability to either party

PROPERTY IN GOODS AND RISK
(a) All goods delivered by the Seller to the Buyer shall remain the property of the Seller until the Buyer has met all outstanding debts and contractual obligations in relation to the goods between the Seller and Buyer. Until such time as the Buyer has paid in full all monies owing for any goods and materials supplied by the Seller to the Buyer, the Buyer shall keep the same in a fiduciary capacity for the Seller.
(b) Risk passes to the Buyer on delivery of the goods, irrespective of whether or not property has passed.


BANKRUPTCY
If the Buyer has a Receiver appointed of any of his property or business undertakings, announces that he is ceasing to trade (other than for declared legitimate reasons such as retirement and continuing to honour all existing contracts) suspends payment and/or notifies any of his creditors that he is unable to meet debts or that he is about to suspend payment of his debts, convenes, calls or holds a meeting of creditors or, being an individual trade, commits an act of bankruptcy, is adjudicated bankrupt or makes any composition or scheme of arrangement with his creditors, or being a body corporate convenes, calls or holds a meeting for the purpose of going into liquidation (other than for the purpose of reconstruction or amalgamation) by the making of an Order or the passing of a resolution for winding up, then the full price of any goods delivered shall be immediately payable notwithstanding any previous arrangement to the contrary and the Seller shall have the right, without prejudice to any other rights and remedies available to them, to cancel and/or suspend deliveries. If the Buyer fails to make any payment as due or dies, the rights conferred on the Seller by this paragraph shall apply, provided that within 28 days after the relevant occurrence the Seller gives the Buyer or his representative written notification of the Seller's intention to exercise all or any of such rights.

ARBITRATION
Any dispute (other than a claim for an unpaid debt and as provided under (c) below) arising out of this Contract shall be referred to arbitration as follows:
(a) In the case of a dispute between a member of the National Farmers' Union for England and Wales, or a member of the National Farmers' Union of Scotland and a member of the United Kingdom Agricultural Supply Trade Association, the dispute shall be referred to arbitration under the rules for the conduct of arbitration jointly agreed between those three organizations; and the making of this Contract shall be deemed to be respectively an offer and acceptance in writing to settle any dispute arising out of this Contract by arbitration as required by those rules.
(b) Unless otherwise agreed, in every other case, the dispute shall be referred to arbitration in accordance with the arbitration rules of the United Kingdom Agricultural Supply Trade Association, 3 Whitehall Court, London SW1A 2EQ, and all parties shall by making this Contract be deemed to have knowledge of such rules and to have elected to be bound thereby.
(c) If a dispute involves legal or technical problems of great complexity which are beyond the knowledge and competence of arbitrators to resolve, or if a dispute of necessity involves a third party who is not subject to arbitration, either party before the time of commencing arbitration proceedings has lapsed can, in writing request the other to consent to the arbitration proceedings being waived and for the dispute to be referred to ordinary litigation in the Courts. Should such consent be unreasonably withheld or no answer received within 28 days, the party making the request shall be at liberty to commence Court proceedings, leaving it to the other party if the other party so wishes to apply for a stay of proceedings invoking the arbitration clause. The Court will then decide whether the arbitration or the Court proceedings should continue. Time for commencing arbitration proceedings shall not run (or if started not continue to run) from the date of such request until the Court has given a final ruling (this including any appeals) as to the proper venue for the dispute to be heard, providing Court proceedings are commenced within 28 days of the receipt of any refusal or 56 days from the date of request if no answer if it is received.

TIME LIMITS FOR CLAIMING ARBITRATION
Arbitration proceedings must be commenced as regards claims relating to quantity or quality within 28 days of the arrival of the goods at their ultimate destination in the U.K. and as regards technical claims within 90 days of the last day of the contract period. Subject to any special conditions relating to leave being granted to institute Court proceedings contained in the arbitration rules of the United Kingdom Agricultural Supply Trade Association, or those agreed between them and the National Farmers' Union, whichever is applicable, the making of an award shall be a condition precedent to any right of action by either party or any person claiming under either of them, so that if arbitration proceedings regarding any claims are not instituted within the time limit prescribed all causes of action relating to that claim, whether by way of arbitration or in any Court of Law, are deemed time barred and waived.

DELIVERY
Dates mentioned by the Seller in any quotation or correspondence are approximate only and not of any contractual effect. The Buyer shall accept delivery during the period agreed with the Seller subject to the provision of Clause 7 (Force Majeure) of this Contract.

COMPLAINTS
No complaint under the terms of these Conditions of Sale can be considered unless clear proof can be given that the seed grown and alleged to have performed unsatisfactorily was in fact seed supplied and that it was sown on suitably prepared ground, treated carefully and correctly throughout and subject only to such conditions as were likely to produce a favourable crop.

CLAIMS
Claims based upon those defects of quantity, quality or condition which should be apparent upon reasonable examination shall be made immediately known by telex, telephone or telemessage and written confirmation despatched with 5 business days of arrival of the goods at the destination to which they have been consigned.

NON-PAYMENT
The Seller reserves the right to withhold deliveries under this Contract until all and any outstanding payments under this or any other Contract with them by the Buyer have been received and reserves a lien upon and the right to sell or otherwise dispose of all goods the subject of this Contract whether appropriate to it or not in the respect of any such payments.

LAW AND JURISDICTION
The construction validity and performance of this Contract and all matters pertaining thereto shall be governed in all respects by English Law and subject to the jurisdiction of the English Courts. Where applicable, the Uniform Law on International Sales are hereby excluded.

GM IMPURITIES
The seeds supplied with this delivery are of conventional varieties bred from parent plants which have not been genetically modified. All reasonable steps have been taking to prevent the adventitious presence of GM material during breeding, production and handling of this seed (including complying with any separation distances as may be recommended from time to time by relevant bodies). This seed is field-grown. Accordingly, no guarantees of absolute freedom from GM impurities can be given since this does not, and cannot, exist in nature. No liability is accepted for any damage whatsoever arising from the possible occurrence of any adventitious traces of GM impurities in the seeds.

Delivery Schedule
We deliver your order right away. We will normally send your order to you in 3 business days unless you specify a later delivery date on the order form.

We only deliver to UK mainland addresses. All orders will be despatched to you using reputable delivery partners to ensure your seed is despatched in good condition. Your contact details will be passed to them to facilitate timely delivery as the courier may wish to call you regarding any problems.

Please make every effort to check your order before signing with the haulier. An order signed for is assumed to be correctly received. Seed2grow will replace any goods damaged by the haulier as quickly as possible only where the damage has been noted with the haulier.

Tax Charges
For orders made from the UK or the European Union, 17.5% VAT is added.

Returns Policy
We are confident that you will be happy with your purchases, however if you are not completely satisfied please contact us within 48 Hours to discuss any returns issues on an individual basis.
Any agreed returns must be sent to us in saleable condition within 7 days of delivery.
